J.P. Bolduc

J.P. Bolduc, Founder and CEO of JPB Enterprises, Inc.

J.P. Bolduc is currently Chairman and Chief Executive Officer of JPB Enterprises, Inc., a Columbia, MD based private investment holding company. The JPB Enterprises' lines of business are organized along six functional groups:

Previously a Presidential Appointee to three U.S. Presidents and Chief Executive Officer of a Fortune 100 company, Mr. Bolduc is frequently sought after as a speaker, consultant and advisor. Mr. Bolduc served as Chairman and Director of numerous social, civic and government Boards and commissions and is a Director of several privately held and public corporations, including Unisys Corporation, EnPro Industries, Inc. and Lance, Inc. Mr. Bolduc is also a Trustee at the William E. Simon Graduate School of Business at the University of Rochester, an Advisor at the University of Notre Dame School of Graduate Studies and a Director of the Edison Preservation Foundation.

During 2003-2004, Mr. Bolduc served as President and Chief Executive Officer and Director of J. A. Jones, Inc., a multibillion dollar global construction and engineering services company. Mr. Bolduc was previously President and Chief Executive Officer, as well as Director, of W. R. Grace & Co., a Fortune 100 company, prior to establishing JPB Enterprises, Inc. in 1995. In 1983, Mr. Bolduc joined W. R. Grace as Senior Vice President. Shortly thereafter, he was promoted to Chief Financial Officer and Vice Chairman and then onto President and Chief Executive Officer.

In 1990, Mr. Bolduc partnered with William E. Simon, Sr., the former U.S. Secretary of the Treasury and Chairman of Wesray, to form Catterton-Simon Partners ("CSP"), a Greenwich, Connecticut-based private equity firm focused on the consumer products industry. Mr. Bolduc served as a general partner of CSP's first three private equity funds.

In 1988, Mr. Bolduc was appointed Chairman of the DeRance Foundation, the world's largest Catholic Foundation, located in Milwaukee, WI.

From 1982 to 1985, Mr. Bolduc served as Chief Operating Officer for President Reagan's Private Sector Survey on Cost Control (the "Grace Commission"). As COO of the Grace Commission, Mr. Bolduc led the efforts of 161 prominent business leaders (consisting almost entirely of Fortune 500 CEOs) and more than 2,000 private sector business leaders in a study focused on identifying managerial and operational cost savings opportunities, as well as revenue enhancement initiatives in federal government operations. President Reagan also appointed Mr. Bolduc to his Task Force on Food Assistance in 1983.

Mr. Bolduc also served as a Vice President and Partner with the global management and technical consulting firm of Booz Allen Hamilton Inc. from 1977 to 1983. Prior to 1977, Mr. Bolduc served as a Presidential Appointee under Presidents Nixon and Ford.

Mr. Bolduc has been honored with several prestigious awards including the Excalibur Award presented by Sun Sentinel Newspaper in Ft. Lauderdale, FL; Outstanding Business Leader Award presented by Northwood University of Palm Beach, FL; Man of the Year Award presented by the Crohn's & Colitis Foundation of America; Junior Achievement Award presented by the Business Hall of Fame of Ft. Lauderdale, FL; the Howard County Chamber of Commerce Person of the Year Award for 2009; and the highly recognized Public and Humanitarian Services Award presented by the Appeal of Conscience Foundation, NY.

Mr. Bolduc possesses a B.A. Degree in Accounting from St. Cloud State University and has completed graduate studies in finance, human resources and general management. He is married to his wife of 47 years, and has four adult children.

Gregory C. Carey

Gregory C. Carey, Partner and Director of Stronghold Advisors As Partner and Director of Stronghold Advisors, Mr. Carey brings over 30 years experience in mergers, acquisitions and senior operations management to the company. He has successfully completed M&A transactions in a number of industries including food processing, chemicals, construction, engineering, medical, textile, restaurant, retail, and distribution. Additionally, Mr. Carey serves as Managing Director for JPB Capital Partners II and Vice President, Private Equity for JPB Enterprises, Inc. and serves as Chairman of the Greene Turtle Franchising Corporation.

Mr. Carey joined JPB Enterprises in 1998 and has participated in and led more than 35 financial advisory assignments with an aggregate value of over $1 billion, and more than 15 strategic-growth consulting assignments for lower-middle market companies in the Mid-Atlantic and Southeastern U.S.

Prior to joining JPBE, Mr. Carey was a Director of Mergers and Acquisitions for Townsend, Inc., a privately owned processor of prepared foods. Prior to Townsend, he served in various capacities with W.R. Grace & Co., including President of Grace Culinary Systems, and President of American Café Restaurants. Mr. Carey was also actively involved in a broad range of acquisitions and divestitures at W.R. Grace as a Senior Assistant to the Chairman.

Mr. Carey earned a Bachelor of Arts degree in Political Science from Trinity College and a Master of Business Administration from the New York University Graduate School of Business.

Eric T. Nass

Eric T. Nass, Partner and Director of Stronghold AdvisorsMr. Nass is a founding Partner and Director of Stronghold Advisors which was formed in 2007 through the merger of Executive Sounding Board (ESB) and JPB Advisory Services. He joined ESB as President in June 1999 when the firm he founded - Corporate Development Associates, LLC (CDA) - merged with ESB. Like ESB, CDA was a middle-market M&A intermediary and consulting firm. Prior to founding CDA, Mr. Nass worked at General Electric for nearly 10 years, most recently as CFO for the $200 million European division of GE Silicones. At GE, he also held Corporate posts in M&A and financial planning & analysis, and worked in a variety of financial, strategic planning and corporate development roles in the GE Plastics, GE Appliances and GE Capital divisions. Mr. Nass also worked for MBNA America in Corporate Planning and M&A.

Mr. Nass received a B.S. with Honors in Commerce & Engineering Sciences from Drexel University where he was elected to Beta Gamma Sigma and Who's Who in AmMr. Nassan Colleges and Universities. Upon graduation, he joined GE's Financial Management Program (FMP). He has also completed Executive Programs in Mergers & Acquisitions and Manufacturing Strategy at the Kellogg Graduate School of Management at Northwestern University, as well as numerous management and financial programs at the GE Management Development Institute including AFMC, MDC and BMC.

Mr. Nass was recently elected to the board of the Howard County Chamber of Commerce where he serves on the Legislative and Sponsorship Committees. He is a former board member and past President of the Maryland Chapter of the Association for Corporate Growth (ACG) and a board member at Big Brothers & Big Sisters of Central Maryland. Mr. Nass also served for five years on the board of the International Network of M&A Partners (IMAP), where he chaired the IMAP Business Services Industry Group.

Robert Rubin

Robert Rubin, Partner and M&A Advisor at Stronghold AdvisorsMr. Rubin is a Partner of Stronghold Advisors and is one of the firm's senior M&A advisors. With more than 25 years of M&A and corporate finance experience in Fortune 100 and entrepreneurial environments and a broad range of industry experience, his clients receive a wealth of transactional and industry specific experience with which to enhance and maximize shareholder value. Mr. Rubin's recent efforts have been focused on government contracting, software development, and commercial IT and other outsourced business services. In addition, he has significant experience in beauty and consumer products, healthcare, real estate and wholesale distribution. With a broad range of contacts in commercial banking, non-bank finance companies and the private equity community he has assisted clients in raising debt and equity financing.

Mr. Rubin received an undergraduate degree from the University of Maryland with a major in accounting and was awarded an MBA in Corporate Finance from the Wharton School of the University of Pennsylvania. As a commercial lending officer at Citibank his banking career included direct responsibility for the workout of a classified loan syndication involving a $2 Billion manufacturing company. This complex assignment, in which Citibank was the Agent, included a lending group comprised of more than 30 banks and 5 insurance lenders and provided valuable experience in working with distressed companies. Mr. Rubin was also Director of Corporate Development for Revlon, Inc. and Director of New Business for Sterling Drug, Inc. where he was involved in more than 25 transactions worldwide.

In addition, Mr. Rubin is a licensed Certified Public Accountant and a registered representative (FINRA Series 7,24 & 63). He has served as President and a Board member of the ACG National Capital Chapter, as well as on the international Board of this 14,000+ member organization comprised of professionals involved in organic growth and M&A activities worldwide. Mr. Rubin is well known throughout the regional corporate finance community and is a frequent speaker and author on M&A topics.

Allen R. Stott

Allen R. Stott, Partner with Stronghold Advisors As Partner with Stronghold Advisors, Mr. Stott brings over 12 years of industry experience to Stronghold Advisors completing transactions in a broad range of industries, business services, health care services, distribution, manufacturing, chemicals and plastics. Mr. Stott's practice is focused on providing strategic advice to business owners throughout the exit planning, preparation and transaction execution stages.

Prior to Stronghold Advisors, Mr. Stott served as Principal with Executive Sounded Board. Additionally, was co-founder of Business Transitions, LLC in 1997, a small and mid-market M&A intermediary and consulting firm based in Columbia, MD. Mr. Stott also has 14 years experience in the chemicals, plastics and packaging industries, including Corporate Commercial Development with W.R. Grace in Columbia, MD. He previously worked as Project Manager with Kline & Company, an international business consulting firm.

Mr. Stott holds a Bachelors of Science degree in chemistry from Randolph Macon College and an Master of Business Administration from The College of William & Mary.

Mr. Stott serves as a board member and past Chairman of the Howard County YMCA, and a board member of j-ref, formerly the James Rouse Entrepreneurial Fund. He also served as Chairman of the Business Assistance Committee of the Baltimore County Chamber of Commerce.

Steven L. Tiedemann

Steven L. Tiedemann, Vice President and General Counsel Mr. Tiedemann serves as Vice President and General Counsel for Stronghold Advisors. Additionally, Mr. Tiedemann serves as General Counsel for JPB Enterprises, Inc.

His practice involves most areas of business and corporate law, including business valuations, corporate structuring, business transactions, fiduciary claims, estate law, construction law and government contracting. He has worked with public and private corporations, as well as small family-owned businesses and individuals. Mr. Tiedemann is also an Adjunct Professor at Mt. St. Mary's University where he teaches upper-level courses in Corporate Finance, Managerial Economics, Business Law, Leadership, and Quantitative Methods for Managers.

Previously, Mr. Tiedemann was a Partner with the firms of Coover, Barr & Tiedemann, LLC, and Tiedemann and Stesch, LLC. He was an Assistant Attorney General for the State of Maryland and served as an Appellate Judicial Clerk for the Honorable Glenn T. Harrell, Jr. on the Court of Special Appeals of Maryland. He served with the U.S. Navy during Desert Storm and received the National Defense Service Medal.

Mr. Tiedemann holds a Jurist Doctorate with honors from the University of Maryland School of Law, a Masters of Science Administration in Business from Central Michigan University, and a Bachelor of Science degree in Engineering and Mathematics from the University of the State of New York. He is a member of the Howard County Bar Association and the Association of Corporate Counsel.
